01Acceptance of these terms

These Terms form a binding agreement between you and [LEGAL ENTITY NAME] (“IRA”, “we”, “us”). By buying an IRA Smart Ring, creating an account, or using the CareShield.AI app or this website, you agree to them. If you do not agree, do not use the Services.

Our Privacy Policy is part of these Terms.

02Wellness product — not a medical device

Measurements — including heart rate, HRV, SpO₂, respiratory rate, body temperature, blood pressure indicators, ECG recordings, blood component estimates and body composition estimates — are provided for wellness awareness and trend tracking. They are not clinical-grade results and are not a substitute for testing performed by a qualified professional using validated equipment.

Never disregard professional medical advice, or delay seeking it, because of something you saw in the app. If you think you may be having a medical emergency, contact your local emergency services immediately. Do not wait for a reading.

Do not start, stop or change any medication — including diabetes medication — based on the Services. Any such change must be made only under the supervision of your treating physician.

Feature availability varies by country and depends on local regulatory approval. Some features described on our website may not be available to you.

03Eligibility

You must be at least 16 years old to create an account, and at least 18 to make a purchase. If you are between 16 and 18, you may use the Services only with the involvement of a parent or guardian.

The ring is not suitable for everyone. Consult your doctor before use if you have an implanted electronic device such as a pacemaker or defibrillator, a known allergy to the materials used, a circulatory condition affecting your hands, or if you are pregnant.

04Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for activity that occurs under your account. Tell us promptly at care@iraring.ai if you believe your account has been compromised.

Profile details such as age, height and weight materially affect how measurements are calculated. Inaccurate profile data will produce inaccurate results.

05Orders, pricing and payment

• All orders are subject to acceptance and availability. We may decline or cancel an order, including where a product has been listed at an incorrect price.
• Prices are shown inclusive or exclusive of taxes as indicated at checkout. Shipping charges and any customs duties are shown or notified before you pay.
• Payment is processed by our payment provider. We do not receive or store your full card details.
• Risk in the product passes to you on delivery. Title passes once payment has cleared in full.
• Delivery estimates are estimates, not guarantees.

06Returns, cancellation and warranty

Returns

You may return an unused ring in its original packaging within [RETURN WINDOW] days of delivery for a refund of the product price. For hygiene reasons, a ring that has been worn may only be returned if it is faulty. Return shipping is at your cost unless the product is faulty or was sent in error.

Sizing

Ring size cannot be changed after manufacture in every case. Use the sizing guidance provided before ordering; exchanges for incorrect sizing are handled case by case.

Warranty

We warrant the ring against defects in materials and workmanship for [WARRANTY PERIOD] from delivery. The warranty does not cover normal wear, cosmetic damage such as scratches, damage from misuse, accident, unauthorised repair, or use outside the stated operating conditions. Batteries are consumable and lose capacity over time; this is not a defect.

This warranty is in addition to, and does not limit, any statutory rights you have as a consumer under the law of your country.

07Programs and coaching

Programs such as the 90-day fitness, nutrition and metabolic health sprint are lifestyle and nutrition coaching services. They do not constitute medical treatment, and outcomes vary between individuals. Nothing described in a program is a promise of a particular health result.

You are responsible for telling your coach about relevant medical conditions and for consulting your physician before making significant changes to diet or exercise.

08Acceptable use

You agree not to:

• Reverse engineer, decompile or attempt to extract the source code or algorithms of the ring, its firmware or the app, except where that right cannot be excluded by law.
• Interfere with the security or integrity of the Services, or access accounts or data that are not yours.
• Resell, rent or commercially redistribute the Services without our written permission.
• Use the Services to provide medical or diagnostic services to others.
• Use automated means to scrape or extract data from the Services.

09Intellectual property

The Services, including software, firmware, designs, text, graphics and the IRA and CareShield.AI names and logos, are owned by us or our licensors and protected by intellectual property law. Buying a ring gives you ownership of that unit of hardware and a personal, non-transferable, revocable licence to use the software on it. It does not transfer any other rights.

You retain ownership of the data you generate. You grant us the licence needed to process it in order to provide the Services, as described in the Privacy Policy.

10Availability and changes

We aim to keep the Services available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features, and may issue firmware or app updates that change how the product behaves. Where a change materially reduces core functionality, we will give reasonable notice.

11Disclaimers and limitation of liability

Except as expressly stated in these Terms and as required by law, the Services are provided “as is”. We do not warrant that measurements will be accurate, uninterrupted or error-free, or that the Services will meet your particular requirements.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, data or opportunity. Our total aggregate liability arising out of or relating to the Services is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection law.

12Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, or where required by law. Sections that by their nature should survive termination — including intellectual property, disclaimers, liability and governing law — will do so.

14Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW / JURISDICTION], and the courts of [COURTS] have exclusive jurisdiction, without affecting any right you have to bring proceedings in your country of residence under mandatory consumer law.

15General

If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between us regarding the Services. We may update these Terms; material changes will be notified before they take effect, and continued use afterwards constitutes acceptance.
